TERMINATION Termination by Zero Trafficking Zero Trafficking may, in its sole discretion prevent you from accessing the Website for any reason, including without limitation, if Zero Trafficking believes that you have breached these Terms of Use, act in a manner that clearly shows that you do not intend to, or are unable to comply with these Terms of Use. 4. INTELLECTUAL PROPERTY 4.1 Ownership Unless otherwise indicated, the Website, any No Charge Products and all associated Intellectual Property Rights, data, information and software are owned by Zero Trafficking and its licensors, and are protected by copyright, moral rights, trademark and other laws relating to the protection of intellectual property. Zero Trafficking reserves all of its Intellectual Property Rights. Except for the limited Licence granted to you in clause 3.1, no ownership or Intellectual Property Rights in the Website or the No Charge Products will pass to you. 4.2 Trademarks The Zero Trafficking trademarks and all associated Intellectual Property Rights are owned by Zero Trafficking. THIRD PARTY PROVIDERS 5.1 Third Party Providers Zero Trafficking engages Third Party Providers in order to provide the No Charge Products. You agree to comply with all requirements and restrictions that Third Party Providers may impose on you directly, or indirectly by imposition on Zero Trafficking, in relation to their respective products and/or services, at the time of, or subsequent to, these Terms of Use. You acknowledge that provision of any No Charge Products are subject to, and dependent upon, adequate delivery of products and services by the Third Party Providers. In accordance with clause 5 of these Terms of Use, Zero Trafficking’s liability is reduced to the extent that loss or damage of any kind is caused, or contributed to, by Third Party Providers. For your convenience, Zero Trafficking has set out in this clause 5 links to the terms and conditions of these Third Party Providers with which you are required to comply. You further agree to comply with the respective terms and conditions of Third Party Providers, which currently include the Third Party Providers set out below. Third Party Providers andctheir terms may change from time to time so you should review them each time you access any No Charge Products. WITHOUT LIMITING ANY OF THE ABOVE, FOR THE AVOIDANCE OF DOUBT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Zero Trafficking WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR COST OF ANY KIND, WHICH IS CAUSED, OR CONTRIBUTED TO, BY A THIRD PARTY SERVICE PROVIDER. 7. INDEMNITY YOU AGREE TO INDEMNIFY AND HOLD Zero Trafficking AND ITS DIRECTORS, OFFICER, EMPLOYEES, AGENTS AND SUBCONTRACTORS, HARMLESS FROM AND AGAINST ANY THIRD PARTY CLAIMS, AND MUST PAY ON DEMAND ALL LOSSES, EXPENSES, DAMAGES AND COSTS (INCLUDING REASONABLE ATTORNEYS’ FEES AND COSTS) SUFFERED OR INCURRED BY Zero Trafficking, WHICH ARISE OUT OF YOUR USE OF THE WEBSITE AND ANY NO CHARGE PRODUCTS. 8. CLASS ACTION WAIVER WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND Zero Trafficking AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Zero Trafficking agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

ARBITRATION IF YOU RESIDE IN NORTH AMERICA PLEASE READ THE FOLLOWING PARAGRAPH CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE DISPUTES WITH Zero Trafficking AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM Zero Trafficking. You and Zero Trafficking agree to arbitrate any dispute arising from these Terms of Use or your use of the Website or any No Charge Products, except that you and Zero Trafficking are not required to arbitrate any dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. ARBITRATION PREVENTS YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. You and Zero Trafficking agree that you will notify each other in writing of any dispute within thirty (30) days of when it arises. Notice to Zero Trafficking shall be sent to info@zerotrafficking.com. You and Zero Trafficking further agree: (a) to attempt informal resolution prior to any demand for arbitration; (b) that any arbitration will occur in Stuart, FL; (c) that arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of the Arbitration Rules of the American Arbitration Association; and (d) that the state or federal courts in Stuart, FL have exclusive jurisdiction over any appeals of an arbitration award and over any suit between the parties not subject to arbitration. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be available in court. WHETHER THE DISPUTE IS HEARD IN ARBITRATION OR IN COURT, YOU AND Zero Trafficking WILL NOT COMMENCE AGAINST THE OTHER A CLASS ACTION, CLASS ARBITRATION OR OTHER REPRESENTATIVE ACTION OR PROCEEDING. 11. MISCELLANEOUS 11.1 Waiver Any waiver of any terms of these Terms of Use will be effective only if in writing and signed by Zero Trafficking. Any rights not expressly granted herein are reserved. 11.2 Severability If one or more of the terms of these Terms of Use are found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining terms will not be affected. 11.3 Amendments Zero Trafficking reserves the right at any time to amend these Terms of Use and/or to impose new and/or additional terms or conditions on your use of the Website and the No Charge Products. Unlawful Purpose means any unlawful purpose, including but not limited to stalking, harassing or intimidating any person or engaging in misleading or deceptive conduct.
